Terms and Conditions and privacy policy

This governs the UMIP relationship with you in relation to the IP Net. For the purposes of these terms and conditions, We/Our/Us means The University of Manchester Intellectual Property Limited. We may update these terms and conditions from time to time with no notification to you on relevant page on the web site www.theintellectualproperty.net.  Using or accessing the IP Net indicates your acceptance of these terms and conditions. If you do not accept these terms and conditions, please do not continue to use this service.

Description of service
IP Net is a service that allows any organisation holding technology based intellectual property, or marketing such intellectual property on behalf of others to market that technology by posting the information directly in the IP Net web site, and also simultaneously generating email campaigns promoting the technologies to subscribers of the system.  IP Net is also a service that allows any technology professional or organisation to advertise requests for solutions to technology problems, through the direct upload of this information to the site, and the generation of email campaigns to technology providers subscribing to the system.    The service currently is provided free of charge to all users, although unlikely that it may happen, We retain the right to make this a chargeable service at some point in the future.

Your use of this service
We have made the IP Net available to you for your use. We may modify, withdraw, suspend or deny access to the IP Net at any time.  We have the right to remove any data from the system if it is viewed as in breach of these terms and conditions, or if a user has been suspended or denied access to the site for any reason.  As the style of usage of this service unfolds, it may also be that in time certain types of users are either asked to modify their type of participation or even be asked to leave.

Our liability to you
These terms and conditions do not exclude Our liability (if any) to you for:
•  personal injury or death resulting from Our negligence;
•  fraud; or any matter which it would be illegal for Us to exclude or to attempt to exclude Our liability.

We do not guarantee that the IP Net will be available all the time or at any specific time. We reserve the right to withdraw or modify the IP Net at any time.

We are only liable to you for losses which you suffer as a result of a breach of these terms and conditions by Us. We are not responsible to you for any losses which you may incur which were not a foreseeable consequence of Us breaching these terms and conditions, for example if you and We could not have contemplated those losses before or when you access the IP Net . Our liability to you shall not in any circumstances include any business losses that you may incur, including but not limited to lost data, lost profits or business interruption.

Service reliability
We make no guarantees of that the information on the site will always be up to date, the timeliness of changes of information on the system, or the timeliness of any messages or emails exchanged between the site and its users.  We make no guarantees of the availability of the service.

Your security obligations
When you join IP Net, you will do this by choosing a password.  It is your responsibility to keep this password confidential.  If you suspect your password or login information has been made available to third parties, it is your responsibility to change the password at the earliest possible opportunity.  If you believe your login information has been used to block your access to your account, it is your duty to inform Us as soon as possible.  If you share your user login information with a trusted third party (e.g. a colleague) it is your responsibility to ensure that the security of this login information is kept confidential and secure.  If you pass this login information to a third party for any reason, you accept that others will have the ability to add, edit, re-market, or delete any data you have access to on your account, and that they will effectively be able to impersonate your identity in any on line content on the site or any promotional emails sent out by this service.
Your personal information
You acknowledge consent for Us to use your contact information if necessary to contact you in any context connected with your use of the site, or if We believe there are other business opportunities, knowledge, or information services that we believe may be of interest to you as a professional in the technology (or related) sectors.

Information provided as part of the IP Net
Any information provided by any party as part of the IP Net is given for general information and interest purposes only. We cannot be responsible for any inaccuracies in the information. As a result, you should not rely on this information and We recommend that you take further advice or seek further guidance before investing or taking any commercial decisions in relation to any information provided as part of the IP Net or taking any action based on the information provided as part of the IP Net. Our liability to you as explained above remains unaffected by this.

Content submitted by you to the site
We have the right at our sole discretion to block the posting, or delete any information posted on IP Net

It is your responsibility to use the facilities on the site to ensure that any data you maintain live on the site, is up to date.

You must not add any information to IP Net if you do not have the legal right to do so under any law or under contractual or fiduciary relationships. 

It is your responsibility to decide and set the duration that information you add remains public on the site

IP Net makes no checks on the validity of any information on the site.  IP Net administrators do moderate some of the information on the site, but this is purely as an oversight to ensure that data posted appears to be in a professional manner and that the data is in line with the general spirit of purpose of the site.

You acknowledge that some of the information you submit to the site will be marketed publicly on the web site, RSS feeds and by email and to subscribers to the IP Net system, and that this information could then be sent and circulated widely to interested parties.

You acknowledge that We have the right to send data you submit to the site to anywhere We choose as appropriate in order to market your information.

Conduct of users
It is your responsibility to ensure that any information you add to IPNet is correct and complete, and that it is not in any way breach the IP rights of others, is unlawful, harmful, racial, defamatory, offensive, hateful, invades the privacy of others, abusive, threatening, obscene, libellous or otherwise objectionable, nor similarly use IP Net to directly or indirectly advertise any web sites to other users that contain material of the aforementioned sorts. 

You will not use IP Net to advertise services of any kind.

You will not make any attempt to impersonate any other person or organisation, or create any impression of an association with another individual or association unless you have agreed it with such third parties. 

You must not interfere with or attempt to disrupt the operation of IP Net in any way

You must not stalk or harass other users in any way

You must not store or collect data from the site to form any sort of database, without the written agreement of Us

Contracting online
Nothing relating to the IP Net is intended to be nor should be construed as an offer to enter into a contractual relationship with you or anyone else, except for these terms and conditions which govern the relationship between Us in relation to your use of the IP Net.

If you make a contract with a third party who is named or referred to as part of the IP Net, it is your responsibility to ensure that you are comfortable with the terms of that contract and to take legal advice if necessary.


Governing Law and Jurisdiction
The formation, existence, construction, performance, validity and all aspects whatsoever of these terms and conditions or of any term of these terms and conditions will be governed by the law of England. The English courts will have non-exclusive jurisdiction to settle any disputes which may arise out of or in connection with these terms and conditions or use of the website.

Identity verification
During the process of registration, a verification process will be used to ensure that the email address you use is rightfully yours to use.  If users use personal email addresses of any sort, at Our discretion, we may wish to ask for further evidence that you do represent or work for the organisation that you claim to.

Email delivery
We are not responsible and bear no liability for any loss that may occur if any information sent out from IP Net by email does not reach its intended recipient for any reason, including but not limited to spam filters, changes or cessation of email address of individuals, network problems or power outages.

Resale of service
You agree not to reproduce, duplicate, copy, sell, trade or resell or exploit in any commercial way, any portion of the IP Net service (including your ID), use of the service, or access to the service


Release
In the event that you have a dispute with one or more other users of any sort, you release Us from any claims, demands and damages (actual and consequential) of every kind of nature, known and unknown, suspected and unsuspected

No warranties
We make no warranties that the 1) the service will meet your requirements, 2) the service will be uninterrupted, timely, secure, or error free  3) the results that may be obtained from the use of the service will be accurate or reliable, 4) the quality of any products, services, information, or other materials obtained by you through the service will meet your expectations.

Indemnity
You expressly understand and agree that We shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, good will, use, data or other intangible losses resulting from 1) the use or inability to use the service, 2) the cost of procurement of substitute goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Service, 3) unauthorised access to or alteration of your transmissions or data, 4) statements of any third party on the service, or 5) any other matters relating to the service.

RSS feeds
IP Net is the generator of RSS feeds for the benefit of users.  Copyright to these RSS feeds rests with IP Net.  These feeds can only be used on condition that none of the content of the RSS feeds or the links contained are removed or that the RSS feeds are altered in any way to misrepresent the source of ownership of the content.

Personal information, anonymity, and privacy policy
We understand that privacy is very important to some types of users on the site. 

We will not pass any of your personal or profile information to any third party.

Any information stored about you or your interests residing the IP Net server is protected by a security regime that has been approved to ISO 27001 Information Security Management standard

The IP Net web site design partner company is also bound contractually to ensure that confidentiality of any contact and commercial data is respected.

You acknowledge that if you use IP Net to market technology or a technology solution request, your name, organisation name, country of location and telephone number will be visible publicly on the site but only when you actually market a technology or make a specific technology request on the system.  Your email address will not be visible on the site, but other users will be able to contact you through a web site form.  There is one exception to this.  If you use IP Net for posting technology solution requests you have the option on a case by case basis of withholding your identity, and users are only able to make contact with you by using the online contact form.

You acknowledge that if you respond to any emails sent from individual users who have contacted you by email through the site, that your email address and any footer on it will be visible to the person you are writing to so your identity WILL be revealed at that point.
